Huzhou Gas Announces Nomination Committee Working Rules

Huzhou Gas Co., Ltd. released newly established Working Rules of the Nomination Committee of the Board of Directors. The committee is tasked with selecting and recommending candidates for director and senior management positions, aiming to optimize board composition and strengthen corporate governance.

According to the document, the Nomination Committee must have at least three directors, and most should be independent non-executive directors. Membership is determined through election by the board, and a convener—who may be the board chairman or an independent non-executive director—oversees committee operations. The committee’s responsibilities include reviewing the composition and diversity of the board, setting standards and procedures for electing directors and senior management, assessing potential candidates’ qualifications, and verifying the independence of independent directors.

Under these rules, the committee will convene at least once a year, and resolutions require approval by a majority of participating members. It may invite other directors or senior managers to attend meetings and can engage professional intermediaries when necessary. Meeting minutes must be retained for at least ten years, and any recommendations on board or senior management appointments will be sent to the board for final approval.
