Hatcher Group completes 51% acquisition of Eversharp via HK$10.00 million share issue

Hatcher Group Limited announced that all conditions precedent for the purchase of a 51 % equity stake in Eversharp Group Limited have been satisfied, and completion occurred on 2 October 2026. Following the transaction, Eversharp becomes a direct non-wholly owned subsidiary, and its financial results will be fully consolidated into Hatcher Group’s accounts.

To settle the consideration, Hatcher Group issued 10.00 million new shares to the vendor at HK$1.00 per share, equivalent to HK$10.00 million in aggregate. The new shares represent 4.79 % of the company’s enlarged share capital, increasing total issued shares from 198.75 million to 208.75 million.

Shareholding impact: • Tanner Enterprises Group Limited, wholly owned by Executive Chairman Li Man Keung Edwin, saw its stake diluted from 41.74 % to 39.74 %. • Li Man Keung Edwin’s combined direct and indirect holding decreased from 60.64 % to 57.73 %. • The vendor’s stake rose from 1.27 % to 6.00 % after receiving the consideration shares. • Public shareholders now hold 32.63 %, down from 34.27 %.

The board remains led by Executive Chairman Mr Li Man Keung Edwin and includes two other executive directors, one non-executive director, and three independent non-executive directors.
