China Tower proposes appointing Yin Wenkai as executive director, EGM slated for 16 June 2026

China Tower Corporation Limited has announced a proposal to appoint Mr. Yin Wenkai as an executive director, pending shareholder approval at the first extraordinary general meeting of 2026 scheduled for 10:00 a.m. on 16 June 2026 in Beijing.

Mr. Yin, aged 57, has served as deputy general manager since November 2022 and will relinquish that post upon confirmation as executive director. His proposed tenure will begin on the EGM approval date and conclude with the end of the third board session and the election of a new board.

Professional background • January 2000–September 2002: Deputy general manager, Anhui Guoxin Paging Co., Ltd., and director of the supervision office, Anhui Branch of China United Telecommunications Corporation. • September 2002–June 2006: Held senior roles within China Telecommunications Corporation’s personnel and human resources departments. • June 2006–September 2020: Deputy general manager and subsequently general manager of the human resources department at China United Network Communications Group Company Limited. • September 2020–November 2022: Chairman of China Unicom Leasing Co., Ltd. • November 2022–present: Deputy general manager, China Tower Corporation Limited.

Mr. Yin holds a bachelor’s degree in economics from the Beijing University of Posts and Telecommunications and is a qualified senior economist. He has no disclosed interests in the company’s shares under Part XV of the Securities and Futures Ordinance and no stated relationships with directors, supervisors, senior management, or substantial shareholders.

Service contract and remuneration Subject to shareholder approval, a service contract will be executed. The board will finalise remuneration in line with internal remuneration measures, factoring in responsibilities, experience, and prevailing market conditions. Details will be disclosed in the company’s forthcoming annual report.

EGM logistics • Record date: Shareholders recorded with Computershare Hong Kong Investor Services Limited on 16 June 2026 are entitled to attend. • Share transfer closure: 11 June 2026–16 June 2026 (both days inclusive); share transfers must be lodged by 4:30 p.m. on 10 June 2026. • Venue: Room 101, Building 12, China Tower Industrial Park, No. 9 Dongran North Street, Haidian District, Beijing.
