Zhejiang Galaxis Technology Group Co., Ltd. (“Zhejiang Galaxis Tech”) will ask shareholders to approve three major items at its First Extraordinary Shareholders’ Meeting (ESM) scheduled for 18 September 2026 in Jiaxing, Zhejiang Province.
Credit facilities capped at RMB 600 million The Board seeks authority to negotiate integrated, revolving credit facilities of up to RMB 600.00 million for 2026. Potential instruments include short-, medium- and long-term loans, bank and commercial acceptance bills, receivables factoring, letters of credit, letters of guarantee and mortgage loans. If approved, the mandate will remain in force until the 2026 annual shareholders’ meeting in 2027.
Guarantee limit mirrors credit request To support operating and financing needs of subsidiaries, directors will also request approval to provide intra-group guarantees up to RMB 600.00 million on a revolving basis. Specific terms will be finalised with counterparties in line with applicable laws and Hong Kong Listing Rules. The authorisation, if granted, will remain valid until the 2026 annual shareholders’ meeting.
Articles of Association overhaul A special resolution proposes extensive amendments to the Articles of Association. Key changes include: • Alignment with Hong Kong’s forthcoming uncertificated securities market regime, permitting electronic shareholding and transfer; • Housekeeping revisions reflecting the Company’s current operations; • Introduction of an Environmental, Social and Governance & Sustainable Development Committee at Board level; • Refined thresholds for shareholder and Board approvals on major transactions and financing, and updated provisions on electronic participation in shareholder meetings.
Meeting logistics The register of members will close from 15 to 18 September 2026. Shareholders recorded on 18 September are entitled to vote in person or by proxy. All resolutions will be decided by poll in accordance with Hong Kong Listing Rules.
Directorate and advisory consents Legal advisers to the Company in Hong Kong and the PRC have confirmed that the proposed amendments comply with applicable regulations. The Board asserts that the changes will not alter existing shareholder rights.
If approved, the new mandates and constitutional updates will position Zhejiang Galaxis Tech for more flexible financing and compliance with evolving market infrastructure ahead of the 2026 financial year.
