Zhongsheng Group Maintains Stable Share Structure and Public Float in August 2026

Zhongsheng Group Holdings Limited disclosed its Monthly Return for Equity Issuer for the period ended 31 August 2026, confirming that both its authorised share capital and issued share base remained unchanged during the month.

The company’s authorised share capital held steady at 1.00 trillion ordinary shares with a par value of HKD 0.0001 each, equivalent to HKD 100.00 million. Issued shares (excluding treasury shares) were unchanged at 2.37 billion, while treasury shares stood at 18.67 million, leaving total issued shares at 2.39 billion.

Management affirmed compliance with Hong Kong’s public-float requirement, maintaining at least the 17.24% minimum threshold applicable to the group’s listing segment. No new shares were issued, and no treasury shares were cancelled, sold or transferred during the month.

Under the company’s 2010 Share Option Scheme, 5.50 million options remained outstanding, with no exercises recorded and no related capital raised in August. The issuer reported no outstanding warrants, convertible securities or other equity-linked instruments.

The filing, submitted on 1 September 2026, reiterates that all statutory and regulatory obligations have been met, with the return duly authorised by Executive Director Huang Yi.
