Haier Smart Home Updates Nomination Committee Charter, Enhancing Board Diversity and Oversight

Haier Smart Home Co., Ltd. has released a revised version (2026) of its “Implementation Rules for the Nomination Committee under the Board of Directors,” introducing clearer governance standards and enhanced diversity requirements.

Key highlights

1. Committee composition • Size: Three to seven directors. • Independence: Independent directors must constitute a majority. • Diversity: At least one member must be of a different gender.

2. Leadership and tenure • Chair: An independent director leads the committee; a vice chair will assist. • Term: Committee members serve concurrently with the Board; vacancies arising from a director’s departure must be filled according to the same nomination procedure.

3. Core responsibilities • Annual review of Board structure, skills matrix and size to align with corporate strategy. • Formulation of director and senior-management selection criteria, including a formal Board-diversity policy. • Identification, assessment and nomination of candidates for directors, the president and other senior roles. • Evaluation of independent-director independence and preparation of succession plans for key positions. • Support for regular Board performance evaluations.

4. Decision-making procedures • Written candidate profiles and consent required before nomination. • Resolutions pass with a simple majority when at least two-thirds of members are present. • Meeting minutes must be retained for no less than ten years, and resolutions are reported in writing to the Board.

5. Resource allocation and confidentiality • The committee may engage external advisers at the company’s expense. • Members must maintain confidentiality regarding deliberations and outcomes.

6. Effective date The revised rules take effect upon Board approval dated 26 March 2026, replacing the prior version in full.

The updated charter formalises Haier Smart Home’s commitment to transparent nomination processes, greater Board diversity and strengthened oversight of senior-management appointments.
