SUNNY OPTICAL (02382) announced that, in order to accelerate the rapid development of the Group's automotive-related optical business, the Company is considering a spin-off of this business segment (which will be operated by the spun-off entity) and its separate listing on the Main Board of The Stock Exchange of Hong Kong Limited. Should the Company proceed with the proposed spin-off, it would constitute a spin-off under Practice Note 15 of the Listing Rules and may also constitute a notifiable transaction for the Company under Chapter 14 of the Listing Rules. Following the proposed spin-off, the spun-off company will remain a subsidiary of the Company, and the Company will continue to consolidate its financial results. On November 7, 2025, the Company submitted a proposal for the spin-off and independent listing to the Stock Exchange in accordance with Practice Note 15. As of the date of this announcement, the submission made under Practice Note 15 remains subject to review by the Stock Exchange. The proposed spin-off is conditional upon meeting the requirements set out in Practice Note 15 and other relevant provisions of the Listing Rules.
