Tuya Inc. (abbreviated “TUYA”) has marginally increased its share capital following the exercise of employee stock options under the 2015 Equity Incentive Plan.

• Transaction details: On 11 May 2026, employees (excluding directors) exercised options for 5,500 Class A ordinary shares at an exercise price of USD 0.00005 per share.

• Scale of change: The newly issued shares represent approximately 0.0009% of the 543.15 million Class A shares outstanding before the exercise.

• Updated share base: The company’s Class A share count edged up to 543.16 million, while total issued share capital—including 70.16 million Class B shares—stands at 613.32 million shares.

• Treasury shares & buybacks: TUYA reported no treasury shares and no share repurchase or redemption activities during the period.

The disclosure complies with Hong Kong Stock Exchange Main Board Rule 13.25A, which requires prompt reporting of changes in issued share capital.
