China Tower: EGM Confirms Yin Wenkai as Executive Director with 99.29% Support, Adds Him to Key Board Committees

China Tower Corporation Limited held its first Extraordinary General Meeting of 2026 on 16 June 2026 in Beijing. The meeting voted on a single ordinary resolution concerning senior management changes.

The EGM covered 17.60 billion issued shares, all of which were entitled to vote. No treasury shares were outstanding, and no voting restrictions applied. Computershare Hong Kong Investor Services Limited acted as the scrutineer.

Shareholders approved the appointment of Yin Wenkai as an executive director with 14.71 billion votes in favour and 0.11 billion votes against, representing 99.29% and 0.71% of votes cast, respectively. With the resolution passed, Yin’s term began on 16 June 2026 and will conclude with the end of the Board’s third session. He has relinquished his former role as deputy general manager; remuneration will be set by the Board under existing policies and disclosed in the forthcoming annual report.

Effective immediately, Yin also joins the Board’s Nomination Committee and Connected Transaction Committee. Following these changes, China Tower’s Board consists of three executive directors (Zhang Zhiyong, Chen Li, Yin Wenkai), four non-executive directors (Cheng Jianjun, Miao Shouye, Luan Xiaowei, Fang Xiaobing), and four independent non-executive directors (Pei Zhenjiang, Hu Zhanghong, Zhang Wei, Wen Bugao).

Seven directors participated in the meeting, either in person or via conference call, ensuring compliance with the Company Law of the People’s Republic of China and the firm’s articles of association. The Board extended a formal welcome to Yin Wenkai upon confirmation of his new responsibilities.
