Times China Adds 148,287 Shares After Convertible Bond Conversions

Times China Holdings Limited reported a minor expansion of its share capital on 31 July 2026 following the conversion of two series of zero-coupon mandatory convertible bonds issued on 28 November 2025.

The conversion of “MCB I” resulted in the allotment of 100,295 ordinary shares, equivalent to 0.003 % of the company’s pre-event issued share base. A separate conversion under “MCB II” generated a further 47,992 ordinary shares, representing 0.002 %.

In aggregate, 148,287 new shares were issued. The company’s issued share capital (excluding treasury shares) rose from 2.99 billion to 2.99 billion shares, an overall increase of 0.005 %.

No treasury shares were held, repurchased or cancelled as of the closing balance date. The board confirmed that the share issues were duly authorised and executed in compliance with all applicable Hong Kong Stock Exchange listing rules and regulatory requirements.
