MMG Records Stable Share Count in July 2026; US$1.30 Billion Convertibles Unchanged

MMG Limited submitted its monthly return to the Hong Kong Stock Exchange for the period ended 31 July 2026, confirming that the company’s equity structure remained unchanged throughout the month.

Issued Share Capital • Ordinary shares in issue: 12.85 billion • Treasury shares: none • No new shares were issued, repurchased, or cancelled during the month.

Public Float • The company affirmed compliance with the Main Board’s minimum 25% public float requirement as at 31 July 2026.

Outstanding Convertibles • US$500 million zero-coupon convertible bonds due 2030 (stock code 05959) remain fully outstanding. Conversion price: HK$8.40 per share; potential dilution: 463.11 million shares. • US$800 million zero-coupon convertible bonds due 2027 remain fully outstanding. Conversion price: HK$10.21 per share; potential dilution: 613.94 million shares. • Combined, the two instruments could add up to 1.08 billion new shares if fully converted, equivalent to roughly 8.40% of the current share base.

Other Equity Instruments • No share options, warrants, Hong Kong depositary receipts, or other equity-linked agreements were outstanding or exercised during the month.

Regulatory Compliance • The company secretary confirmed that all statutory filings and listing rule requirements related to the period’s securities movements have been met.

With no alterations to its share capital or treasury position, MMG’s equity structure and public float ratio remain consistent ahead of any potential future conversions of its existing bond instruments.
