Jinyan Kaolin AGM Passes All Resolutions; Sets 2025 Final Dividend at RMB 2.27 per 10 Shares

Jinyan Kaolin (Anhui Jinyan Kaolin New Materials Co., Ltd.) reported that all eight ordinary resolutions proposed at its 2025 Annual General Meeting on 21 April 2026 were approved by poll with 100 % of votes cast in favour.

Key meeting statistics • Shares represented: 76.96 million, equal to 79.18 % of the company’s 97.19 million issued shares. • Voting outcome: 100 % approval for each resolution, including the 2025 Board work report, independent directors’ duty report, 2025 annual reports (H-share and NEEQ versions), re-appointment of auditors for 2026, profit distribution plan, 2026 banking facilities, and 2026 directors’ remuneration plan.

Dividend details • Final dividend for FY 2025: RMB 2.27 per 10 shares (tax inclusive). • Currency: Domestic shareholders will receive RMB; H-share holders will receive HKD at an exchange rate of HKD1 = RMB0.8763225, translating to HKD 1.989252 per 10 H shares. • Record date: 25 April 2026. • Payment date: 22 May 2026. • Share transfer cutoff: 4:30 p.m. on 24 April 2026; register of members closed from 25–30 April 2026.

Corporate governance notes All directors except one independent non-executive director, absent for work reasons, attended the AGM. Computershare Hong Kong Investor Services acted as scrutineer for the poll.
