Swire Pacific announced a series of board and committee changes that will take effect following the conclusion of the company’s 2026 Annual General Meeting scheduled for 14 May 2026.
The adjustments include the planned retirement of Independent Non-Executive Director (INED) Edith Man-ling Ngan, the appointment of two new INEDs—Anna Ming Ming Cheung and Clara Ho—and the re-designation of Gordon R. H. Orr from INED to Non-Executive Director (NED).
Key changes: • Retirement: Edith Ngan, INED since June 2022 and Audit Committee member since May 2023, will step down and will not seek re-election. She confirmed no disagreement with the Board and no matters requiring shareholder attention. • New INEDs: – Anna Ming Ming Cheung (age 58), currently an INED of Hong Kong Exchanges and Clearing Limited and HKBN Ltd., joins the Board and the Remuneration Committee. – Clara Ho (age 54), Partner at EQT Private Capital Asia, becomes an INED and joins the Audit Committee. Director remuneration is set at HK$0.83 million per annum for each new INED, with additional annual fees of HK$0.08 million for Cheung’s Remuneration Committee role and HK$0.23 million for Ho’s Audit Committee role, pro-rated for 2026.
• Re-designation: Gordon R. H. Orr (age 63), an INED since 2015, will join holding company John Swire & Sons Limited and transition to NED at Swire Pacific. He will relinquish chairmanship of both the Remuneration and Nomination Committees. Orr holds 9,000 “A” shares of Swire Pacific.
• Committee leadership: Xu Ying will assume chairmanship of the Remuneration and Nomination Committees, while Paul Kenneth Etchells will join the Nomination Committee.
Tenure and service contracts: Cheung and Ho will serve until the 2027 AGM, and Orr until the 2028 AGM, each subject to three-year renewal upon re-election. All appointees have confirmed independence under Listing Rule 3.13 and disclosed no material relationships with the company’s connected persons.
Current board composition (as of 8 April 2026) comprises four Executive Directors, two Non-Executive Directors, and five Independent Non-Executive Directors.
