Hong Kong-listed Noble Engineering Group Holdings Limited (Noble Engineering) plans to overhaul its corporate governance framework by amending its existing amended and restated Articles of Association and adopting a consolidated set of New Articles.
The Board outlined three principal objectives for the Proposed Amendments:
1. Regulatory alignment – updating the Articles to reflect recent changes in GEM Listing Rules, notably the treasury share regime and the expansion of paperless listing requirements.
2. Digital efficiency – enabling electronic dissemination of notices, corporate documents and dividend or other shareholder payments.
3. Housekeeping updates – incorporating consequential changes to ensure consistency with prevailing Cayman Islands company law and the GEM Listing Rules.
The revisions will be presented to shareholders as a special resolution at the forthcoming annual general meeting (AGM). The New Articles, which merge all proposed changes, will become effective upon shareholder approval.
A circular detailing the amendments and the AGM notice will be dispatched to shareholders in due course.
As of 23 July 2026, the Board comprises Executive Directors Mr. Tse Chun Yuen (Chairman) and Mr. Tse Chun Kuen; Non-executive Director Ms. Dang Hongying; and Independent Non-executive Directors Mr. Wong Yiu Kwong Kenji, Ms. Chung Lai Ling and Mr. Tang Chi Wai.
