The committee is tasked with refining the selection approach for directors and senior management, aimed at strengthening the company’s corporate governance framework.
According to the announcement, the Nomination Committee will comprise three directors, with the majority serving as independent non-executive directors. At least one director of a different gender will be included in its composition. The committee is accountable for reviewing and proposing qualified candidates for directorships and senior management positions, assessing their professional experience, as well as ensuring compliance with the independence requirements for independent non-executive directors.
The filing outlines the process for identifying and evaluating candidates. This includes gathering biographical information, obtaining consent from nominees, and bringing forward final recommendations to the Board of Directors. The Terms of Reference also clarify that members’ tenures coincide with their directorships and set guidelines on how the committee may engage external advisors to assist with its work.
The Terms of Reference specify meeting procedures, including both regular and extraordinary sessions, decision-making methods, and confidentiality obligations. The committee will report to the Board of Directors, submit resolutions for final approval, and maintain meeting records for at least ten years. These provisions will become effective from the date of listing and trading of the company’s H Shares on The Stock Exchange of Hong Kong Limited.
