SGX Filings09-02

Keppel DC REIT has raised approximately 625.0 million Singapore dollars through an upsized private placement after books were about 3.5 times covered by institutional and accredited investors.

A total of 297.62 million new units will be issued at 2.100 Singapore dollars each, representing a 4.4% discount to the volume-weighted average price of 2.1974 Singapore dollars on Aug, 31 2026 and a 3.4% discount to the adjusted VWAP of 2.1748 Singapore dollars. The new units equal roughly 12.2% of Keppel DC REIT’s existing units in issue.

Net proceeds of about 615.8 million Singapore dollars (98.5% of the total) will be applied to partially fund an announced acquisition, while roughly 9.2 million Singapore dollars (1.5%) will cover related fees and expenses. Any remaining funds may be used for general corporate or working-capital purposes.

The units will be issued under the trust’s existing general mandate, eliminating the need for additional unitholder approval. Trading of the new units on the Singapore Exchange is expected to commence at 9:00 a.m. on Sep, 10 2026, subject to regulatory clearance.

DBS Bank has taken a proprietary allocation of 1.0 million units, within the limits set by the exchange.
