Hong Kong, 7 August 2026—FS.COM Limited announced that its Board of Directors has approved a proposal to establish an H Share Award Scheme aimed at creating a long-term equity incentive platform for core employees and key partners who contribute to the Group’s strategic growth.
The planned scheme is intended to: • Align participant interests with those of shareholders, • Attract, motivate and retain talent critical to research, business development and market expansion, and • Enable participants to share in the Company’s long-term value creation.
Implementation framework Pending shareholder approval at an upcoming General Meeting, the Board—together with any authorized delegates—will receive a comprehensive mandate to administer the scheme. Responsibilities will include selecting eligible participants, defining grant and vesting conditions, setting any purchase price or performance hurdles, appointing a trustee and overseeing amendments or termination of the plan.
Share source and regulatory compliance Awarded shares may be satisfied through (i) new H shares issued by the Company, (ii) any treasury shares, and/or (iii) existing H shares acquired by a trustee on- or off-market. As the structure involves potential issuance of new shares, the scheme falls under Chapter 17 of the Hong Kong Listing Rules. No grants involving new share issuance will be made within six months of 23 March 2026, the date FS.COM’s H shares were first listed on the Hong Kong Stock Exchange.
Conditions precedent The scheme will become effective only after: 1. Shareholders approve the H Share Award Scheme, including its overall mandate limit and service-provider sub-limit, and delegate implementation authority to the Board or its designees. 2. The Listing Committee of the Hong Kong Stock Exchange grants listing approval for any new H shares to be issued under the awards.
Next steps FS.COM will publish a circular detailing the scheme’s principal terms, the proposed mandate and the notice of General Meeting on both the Hong Kong Stock Exchange and the Company’s websites in accordance with regulatory requirements. Until shareholder approval is obtained, stakeholders are advised to exercise caution when dealing in FS.COM shares.
