Sanergy Group Calls 27 April 2026 AGM; Proposes 10% Share Buyback, 20% Issuance Mandates and Board Re-elections

Sanergy Group Limited has scheduled its Annual General Meeting for 10:00 a.m. on 27 April 2026 at 3 East Industrial Road, Hongzhou Industrial Park, Huixian Industries Concentration Zone, Xinxiang, Henan, China.

Key resolutions to be tabled include:

1. Financial Statements • Shareholders will be asked to receive and approve the audited consolidated financial statements and the reports of directors and auditors for the year ended 31 December 2025.

2. Board Composition • Re-election of Mr. Hou Haolong as executive director. • Re-election of Mr. Cheng Tai Kwan Sunny and Professor the Honourable Ngai Ming Tak Michael as independent non-executive directors.

3. Remuneration Matters • Board authorisation to fix directors’ remuneration. • Re-appointment of Deloitte Touche Tohmatsu as external auditor with board-determined fees.

4. Share Capital Mandates • Share Repurchase: Directors seek authority to repurchase up to 10% of the company’s issued share capital (excluding treasury shares) during the mandate period, defined as the interval ending at the next AGM, the statutory deadline for that meeting, or any earlier revocation. • Share Issuance: A separate mandate would allow directors to allot and issue new shares or convertible securities up to 20% of issued share capital, subject to customary exclusions for rights issues, employee schemes and other specific authorities. • Extension: The issuance limit may be increased by the number of shares repurchased under the buyback mandate, capped at an additional 10% of issued share capital.

5. Administrative Deadlines • The share register will be closed from 22 April 2026 to 27 April 2026, inclusive. Transfers must be lodged by 4:30 p.m. on 21 April 2026 to qualify for AGM attendance and voting. • Proxy forms must reach Computershare Hong Kong Investor Services Limited at least 48 hours before the meeting.

The resolutions aim to provide board flexibility over capital management and to confirm key governance appointments for the forthcoming financial year.
