Soundwill Holdings Limited (Soundwill) reported no changes to its capital structure for March 2026, according to the monthly return filed with Hong Kong Exchanges and Clearing Limited.

Authorised Capital • The authorised share count remained at 5.00 billion ordinary shares with a par value of HKD 0.10, equivalent to authorised capital of HKD 500.00 million. • No increase or decrease in authorised shares was recorded during the month.

Issued Shares and Treasury Shares • Issued shares (excluding treasury shares) stood unchanged at 283.31 million. • The company held zero treasury shares at the end of March, identical to the prior month. • Consequently, total issued share capital stayed at 283.31 million shares.

Public-Float Status • Soundwill confirmed compliance with the Main Board’s minimum public-float requirement of 25% of issued shares as of 31 March 2026.

Share Option Scheme • Under the Share Option Scheme adopted on 23 May 2024, 28.33 million options were outstanding at month-end. • No new shares were issued, and no treasury shares were transferred as a result of option exercises in March. • The company did not report any warrants, convertible securities, or other share-issuance arrangements during the period.
