Yuexiu Property Obtains HK$300 Million 364-Day Loan; Default Trigger Linked to Controlling Shareholder’s Stake

Yuexiu Property Company Limited announced that on 22 September 2026 it entered into a facility agreement with an unnamed bank for a term loan of up to HK$300 million. The loan carries a tenor of 364 days from the first drawdown date and is governed by the terms set out in the agreement.

A key covenant stipulates that an event of default will be triggered if any of the following occurs: • The direct or indirect shareholding of controlling shareholder Yue Xiu Enterprises (Holdings) Limited in Yuexiu Property falls below 30%. • Yue Xiu ceases to be the single largest beneficial shareholder. • Yue Xiu loses effective management control of the company.

Should any of these events arise, the lender has the right to declare all outstanding amounts under the facility immediately due and payable.

As of the announcement date, Yue Xiu Enterprises (Holdings) Limited holds approximately 44% of Yuexiu Property’s issued shares, comfortably above the 30% threshold.

The announcement was issued in compliance with Rule 13.18 of the Hong Kong Stock Exchange Listing Rules and was authorized by the board of Yuexiu Property Company Limited.
