Tradelink Proposes Comprehensive Articles of Association Update to Support Hybrid and Virtual Shareholder Meetings

Tradelink Electronic Commerce Limited (Tradelink) has announced plans to replace its existing Articles of Association with a revised version aimed at aligning the company with recent amendments to the Hong Kong Listing Rules governing the conduct of general meetings.

Key proposed changes: • Alignment with the latest regulatory requirements following Listing Rule updates. • Explicit permission for physical, hybrid and virtual general meetings. • Operational provisions to facilitate electronic attendance and voting. • Clarification that votes may be cast through electronic means.

Implementation timeline: • The new Articles of Association will be presented for approval by special resolution at the company’s annual general meeting scheduled for 29 May 2026. • A detailed circular outlining the amendments and the AGM notice will be dispatched to shareholders in due course.

Board composition at the time of the announcement includes three Non-executive Directors, three Independent Non-executive Directors and two Executive Directors, with Dr. Lee Harry Nai Shee serving as Chairman.
