Huadian Power International (1071) Announces EGM Results and Supervisory Committee Abolishment

On November 18, 2025, Huadian Power International Corporation Limited (1071) convened its third extraordinary general meeting of 2025 at Huabin International Hotel in Beijing. Shareholders holding a total of 6,262,401,040 shares, representing approximately 53.93% of the company’s issued share capital, attended the meeting in person or via proxies. All resolutions proposed were voted on by poll and duly passed, aligning with relevant laws and the company’s articles of association.

Key proposals included amendments to the company’s Articles of Association, the Rules of Procedures for General Meetings, and the Rules of Procedures for Board Meetings. Each amendment obtained a substantial majority of votes in favor. Among the highlights, 96.93% of votes supported the resolution to abolish the Supervisory Committee, transferring its functions to the audit committee of the Board.

Following this structural change, the meeting also ratified the resignation of the members of the tenth session of the Supervisory Committee, all of whom confirmed there were no issues needing further disclosure. In addition, the company announced the election of Mr. Zhu Yueguang as an employee representative director, effective immediately through the end of the tenth session of the Board. Mr. Zhu also serves as deputy general manager and chairman of the labor union within the organization.

Subsequent to the EGM, the Board restructured its special committees by appointing Mr. Zhu as a member of the Strategic Committee and appointing Mr. Feng Zhenping to the audit committee, both serving until the conclusion of the tenth session of the Board.
