CHINA AEROSPACE Releases AGM Proxy: FY 2025 Results Adoption, Board Re-election and 20% Issuance Mandate on Agenda

China Aerospace International Holdings Limited has circulated its proxy form for the 2026 Annual General Meeting (AGM), scheduled for 10:00 a.m. on 18 June 2026 at Harbour Grand Kowloon, Hong Kong. Key agenda items for shareholder voting include:

1. Financial Statements • Adoption of the audited accounts and the Directors’ and Auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of three directors: Mr Song Shuqing, Ms Chen Jingru and Ms Xue Lan. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Re-appointment • Continuation of PKF Hong Kong Limited as external auditor, with the Board authorised to set audit fees.

4. Capital Mandates • General mandate permitting the Board to allot, issue and deal with new shares up to 20% of the Company’s issued share capital. • Authority to repurchase shares and warrants up to 10% of issued share capital. • Extension of the issuance mandate by the volume of any shares repurchased under the buy-back mandate.

Proxy Submission Deadline Completed proxy forms and relevant authorisations must be lodged with Tricor Investor Services Limited by 10:00 a.m. on 16 June 2026. Shareholders retain the right to attend and vote in person despite lodging a proxy.

Voting Instructions Shareholders should mark “For” or “Against” for each resolution; if no instruction is given, the appointed proxy may vote or abstain at discretion.

The proxy does not require shareholders to appoint a fellow member; non-members may act as proxy, provided they attend the AGM in person.
