HENDERSON LAND Development Company Limited has issued a circular convening its annual general meeting (AGM) for 11:30 a.m. on 2 June 2026 at Cloud 39, The Henderson, Central, Hong Kong.
Key proposals to be put before shareholders include:
1. General Mandates • Share Buy-Back: authorisation to repurchase up to 10% of the issued share capital (excluding any treasury shares), equivalent to a maximum 484.14 million shares based on the 4.84 billion shares outstanding as at 16 April 2026. • Share Issuance: authority to allot and issue new shares—or transfer treasury shares—up to 20% of issued shares (approximately 968.28 million shares) and to extend this limit by the number of shares actually bought back.
2. Adoption of New Articles of Association The board recommends replacing the existing articles to reflect recent changes to Hong Kong company law and Stock Exchange Listing Rules, notably: • Facilitation of fully virtual or hybrid shareholder meetings. • Implementation of treasury-share provisions. • Mandatory electronic dissemination of corporate communications and electronic proxy submission. • Removal of the former 5% material-interest voting threshold for directors.
3. Board Re-elections Five directors—Dr Lee Ka Kit, Dr Lee Ka Shing, Madam Fung Lee Woon King, Mr Suen Kwok Lam and Mrs Lee Pui Ling, Angelina—will retire by rotation and stand for re-election.
4. Dividend and Financial Statements Shareholders will consider the audited financial statements for the year ended 31 December 2025 and vote on a final dividend (no scrip alternative).
5. Register Closure • Shareholder eligibility to attend and vote: register closed 28 May–2 June 2026 (both dates inclusive); transfers must be lodged by 4:30 p.m. on 27 May 2026. • Dividend entitlement: register closed 8 June–10 June 2026; transfers must be lodged by 4:30 p.m. on 5 June 2026.
6. Other Business The board also seeks re-appointment of the auditor and authority to fix its remuneration.
All AGM resolutions will be decided by poll. The board recommends shareholders vote in favour of all proposals.
