Keymed Biosciences Inc. (KEYMED BIO-B) confirmed completion of the previously announced disposal of its minority stake in Ouro Medicines. Wholly owned subsidiary iBridge HK has collected an upfront cash consideration of US$257.00 million following the closing of Ouro’s merger agreement on 5 June 2026.
Gilead Sciences, Inc. acquired 100% of Ouro Medicines for an upfront US$1.68 billion, alongside potential milestone payments of up to US$0.50 billion. Under a separate arrangement, Gilead and Lakefront Biotherapeutics NV will split both the up-front and milestone amounts equally. As a result, Keymed is entitled to additional milestones of up to US$70.00 million linked to the transaction.
The existing November 2024 exclusive licence between Keymed and Ouro remains in force. Consequently, Gilead and Lakefront assume responsibility for future obligation payments to Keymed, comprising development and regulatory milestones of up to US$610.00 million plus tiered royalties on global net sales outside Greater China.
Operationally, Lakefront has taken over most of Ouro’s personnel and assets and will manage ongoing and future Phase I/II trials of CM336/OM336, while Gilead leads registrational and late-stage studies. Gilead retains worldwide commercial rights, excluding Greater China.
CM336/OM336 is a bispecific antibody targeting BCMA and CD3, designed to induce T-cell–dependent cytotoxicity for severe antibody-mediated autoimmune diseases. The asset carries FDA Fast Track and Orphan Drug designations for autoimmune hemolytic anemia and primary immune thrombocytopenia. Early clinical data showed rapid, durable responses without CRS or ICANS, including complete responses within three weeks and treatment-free remission at six months. Registrational studies are planned for 2027, with further indication expansion to be announced by Gilead and Lakefront.
Keymed reiterates that successful development and commercialisation of CM336/OM336 are not guaranteed and advises shareholders and investors to exercise caution when dealing in the company’s shares.
