BOCOM INTL Subsidiary Establishes US$2.00 Billion MTN Programme; Parent Company Provides Irrevocable Guarantee

Bocom International Blossom Limited, a British Virgin Islands–incorporated subsidiary of BOCOM INTL (officially BOCOM International Holdings Company Limited), has applied to list a US$2.00 billion Medium Term Note (MTN) Programme on The Stock Exchange of Hong Kong.

Under the programme: • Notes will be unconditionally and irrevocably guaranteed by BOCOM International Holdings Company Limited. • Securities issued within 12 months after 8 May 2026 and listed in Hong Kong will be offered solely to professional investors, in accordance with Chapter 37 of the Hong Kong Listing Rules. • The listing of the programme is expected to become effective on or about 11 May 2026. • The issuer may also place unlisted notes under the same framework.

Corporate governance disclosures show Mr. Xie Jie as the sole director of the issuer, while the guarantor’s board comprises two Non-executive Directors (Mr. Xiao Ting, Ms. Zhu Chen), one Executive Director (Mr. Xie Jie), and three Independent Non-executive Directors (Mr. Ma Ning, Mr. Lin Zhijun, Mr. Pu Yonghao).

The announcement confirms that the notes will be offered exclusively outside the United States in compliance with Regulation S of the U.S. Securities Act of 1933 and will not be registered under the Act.
