TME Prices USD 1.00 Billion Dual-Tranche Senior Unsecured Notes Offering

Tencent Music Entertainment Group (TME) has priced a public offering of USD 1.00 billion in senior unsecured notes, split evenly between two tranches:

• USD 500 million of 5.050% notes maturing in 2031 • USD 500 million of 5.650% notes maturing in 2036

The transaction was announced on 3 September 2026 (U.S. Eastern Time), with settlement targeted for on or about 10 September 2026, subject to customary closing conditions.

Net proceeds are expected to reach approximately USD 991.90 million after deducting underwriting discounts, commissions and estimated expenses. TME plans to allocate these funds to general corporate purposes, including refinancing existing offshore debt and executing share repurchases.

J.P. Morgan Securities, Goldman Sachs (Asia) and The Hongkong and Shanghai Banking Corporation are joint bookrunners. UBS AG Hong Kong Branch, Bank of China and MUFG Securities Asia serve as joint lead managers alongside the bookrunners.

The notes have been registered with the U.S. Securities and Exchange Commission and an application has been submitted for their listing on The Stock Exchange of Hong Kong Limited (HKEX) under Chapter 37, restricted to professional investors. HKEX has confirmed the eligibility of the notes for listing.

The underwriting agreement allows for termination under certain conditions; therefore, completion of the issuance is not guaranteed. Investors are advised to exercise caution when dealing in TME securities.
