Wharf (4) and WREIC (1997) Announce New Three-Year Master Hotel Services Agreement

Wharf (4) and Wharf Real Estate Investment Company Limited (1997) have entered into a New Master Hotel Services Agreement, effective from 1 January 2026 to 31 December 2028. According to the announcement dated 28 November 2025, this agreement aims to regulate the continued provision of management, marketing, technical, and related hotel services by Wharf Group Members for hotel properties owned by WREIC Group Members.

Under this new arrangement, each party has adopted respective annual caps of HK$81 million, HK$94 million, and HK$112 million for the financial years 2026, 2027, and 2028. Historical services fees for these transactions totaled HK$61 million for the financial year ended 31 December 2023, HK$56 million for 2024, and HK$47 million for the first ten months of 2025.

The arrangement seeks to generate stable income opportunities for Wharf, while allowing WREIC to leverage the brand and expertise of Wharf Group in the hotel sector. Both companies consider the terms fair, reasonable, and in line with prevailing market practices. The agreement and its respective annual caps will be subject to announcement, reporting, and annual review requirements under the Listing Rules, but will not require shareholder approval.
