Archosaur Games Inc. (the “Company,” 9990.HK) has released details on its renewed framework agreement with Tencent (700.HK) to continue connected transactions. According to the document, the extraordinary general meeting (EGM) will take place on December 17, 2025, at 9:00 a.m. in Quanzhou, Fujian. During the meeting, independent shareholders will vote on the renewal of the agreement, covering two core transaction categories: (1) licensing certain intellectual property rights from Tencent, and (2) designating Tencent as the exclusive publisher and operator of select games developed by Archosaur Games.
Under the renewed framework, the Company expects to pay up to RMB68.4 million, RMB121.6 million, and RMB166.7 million in IP rights licensing fees to Tencent between 2026 and 2028. Tencent’s payments to Archosaur Games for exclusive publishing and operations are projected to reach RMB73.9 million in 2026, RMB70.7 million in 2027, and RMB65.5 million in 2028. The Board considers these terms fair and reasonable, stating that the partnership maximizes synergies in game development, publication, and IP usage. Subject to approval, the renewed arrangements will take effect from January 1, 2026, through December 31, 2028.
