On 30 October 2026, Archosaur Games Inc. (Archosaur Games) reported that its wholly owned subsidiary, Archosaur Entertainment, executed the early redemption of two bond-linked notes originally subscribed through Standard Chartered Bank (Hong Kong) Limited on 19 November 2025.
The first note carried a principal of USD7.00 million, a 12-month tenor, and a 5.23 % coupon linked to 4.00 % U.S. Treasury Notes maturing 15 November 2035. The second note had a principal of USD6.00 million, an identical tenor, and a 5.38 % coupon tied to the same U.S. Treasury benchmark. Both instruments were scheduled to mature on 25 November 2026, with exercise dates set for 18 November 2026.
Redemption was completed on 30 October 2026 at full principal value, generating combined gains of USD0.02 million—USD0.02 million and USD0.00 million from Bond-Linked Notes 1 and 2, respectively—versus their carrying fair values classified as “financial assets at fair value through profit or loss.” Total cash proceeds amounted to USD13.02 million and will be retained for general corporate purposes, including working capital, time deposits, and other cash-management needs.
Under Hong Kong Listing Rule 14.22, the two redemptions are aggregated as one transaction because they are similar in nature and involve the same counterparty within a 12-month period. The largest applicable percentage ratio on an aggregated basis exceeds 5 % but remains below 25 %, classifying the redemptions as a discloseable transaction requiring public reporting and announcement but not shareholder approval.
Management cited portfolio rebalancing and market-risk reduction as primary drivers for the early exit, noting increased volatility in the underlying U.S. Treasury market and a desire to shorten duration exposure. The board affirmed that the terms were negotiated at fair market value and align with the interests of the company and its shareholders.
Following this transaction, Archosaur Games confirms it no longer holds any outstanding wealth-management products arranged through Standard Chartered Hong Kong.
