FIT Hon Teng to Exit Origin Wireless, Sells Entire Stake to ADT for up to US$21.97 Million

FIT Hon Teng Limited announced that on 30 March 2026 it executed a written consent to divest its entire interest in Origin Wireless, Inc. (OWI) to ADT Inc., an independent third party.

The transaction covers 1.25 million Series A Preferred shares at US$2.83 per share and 2.26 million Series B-1 Preferred shares at US$7.03 per share. Aggregate consideration will not exceed US$21.97 million, comprising US$19.42 million in purchase price and an escrow amount of up to US$2.55 million.

FIT Hon Teng expects to recognise other comprehensive income of up to US$9.70 million before tax and expenses upon completion. Following settlement, the company will hold no equity in OWI.

All applicable percentage ratios for the deal are below 5%, so the disposal does not constitute a notifiable transaction under Hong Kong Listing Rules. The board has advised shareholders and potential investors to exercise caution when dealing in the company’s securities.
