Scholar Education shifts to fully electronic corporate communications, releases AGM circular and proxy form

Bulletin Express05-27

On 27 May 2026, Scholar Education Group (SCHOLAR EDU) published its latest Circular and Proxy Form for the upcoming Annual General Meeting and confirmed a company-wide transition to electronic dissemination of all future corporate communications.

The newly issued documents are available in both English and Chinese on the company’s website (www.skledu.com) and the HKExnews portal (www.hkexnews.hk). Registered shareholders who previously elected to receive hard copies have been provided with printed versions in their preferred language; additional copies are available free of charge on request through the Hong Kong share registrar, Computershare Hong Kong Investor Services Limited.

Key change – electronic distribution: • In line with Listing Rule 2.07, Scholar Education will cease routine mailing of printed corporate materials. Future releases—including annual and interim reports, meeting notices, circulars and proxy forms—will be posted online, with shareholders notified by post or email according to their elected preference. • Shareholders who wish to continue receiving printed documents, or who want to alter their language/means of receipt, can complete and return the enclosed Reply Form or email ir@skledu.com. Each instruction remains valid for one year from receipt.

Actionable communications: Documents that require shareholder action—such as voting instructions—will still be sent individually in the holder’s chosen format (printed or email) in addition to being posted online.

Provision of email addresses: The Board encourages investors to supply a functional email address, either by scanning the personalised QR code on the Reply Form or by emailing the registrar. Without a valid email, holders must monitor the company and HKExnews websites for updates and will receive actionable items only in printed form.

Enquiries regarding the new arrangements can be directed to ir@skledu.com or to Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong.

The notice was issued by Chairman and Executive Director Chen Qiyuan on behalf of the Board.
