NONGFU SPRING (09633) has announced that following approval at the Annual General Meeting, Mr. Zhong Shanshan, Ms. Wu Limin, Mr. Xiang Xiansong, and Ms. Han Linyou have been elected as Executive Directors of the company's ninth-term Board of Directors. Mr. Zhong Shu Zi has been elected as a Non-Executive Director of the ninth-term Board. Mr. Gu Zhaoyang, Ms. Wen Ming, and Mr. Wang Yingzhe have been elected as Independent Non-Executive Directors of the ninth-term Board. Furthermore, through the company's democratic employee election process, Mr. Rao Minghong has been elected as an Executive Director and Employee Representative Director for the ninth-term Board. The term for the ninth-term Board of Directors is three years, effective from May 19, 2026.
At the Board meeting held immediately after the Annual General Meeting, Mr. Zhong Shanshan was appointed as Chairman of the ninth-term Board of Directors. His term is effective from May 19, 2026, and will last until the conclusion of the ninth-term Board's tenure.
Additionally, the Board has approved the appointment of the following individuals as senior management of the company: (1) Mr. Zhong Shanshan as General Manager; (2) Ms. Wu Limin as Chief Financial Officer; and (3) Ms. Han Linyou as Board Secretary and Company Secretary. The terms and senior management status for these individuals are effective from May 19, 2026, for a period of three years, aligning with the term of the ninth-term Board.
Concurrently, the Board has appointed Ms. Wu Limin and Ms. Han Linyou as authorized representatives under Rule 3.05 of the Hong Kong Listing Rules. Their appointments are for a three-year term, effective from May 19, 2026, until the end of the ninth-term Board's tenure.
