CN Anchu Energy clarifies 2025 share option scheme; 395.69 million shares reserved (11.1% of outstanding)

On 21 August 2026, CN Anchu Energy issued a supplemental announcement to its 2025 Annual Report, providing additional details on the company’s share option schemes.

Key amendments focus on option timelines and vesting flexibility. The exercise period may start on the offer date and cannot exceed ten years from grant. A standard minimum vesting period of 12 months applies, but the board or remuneration committee may approve shorter vesting in four defined situations: 1) “Make-whole” awards to new hires replacing forfeited incentives; 2) Administrative batch grants where timing adjustments are required; 3) Mixed or accelerated schedules such as even monthly vesting within a 12-month window; 4) Grants tied to performance-based milestones instead of service tenure.

Participants must remit HK$1 upon accepting an option within 30 days of the offer.

Available capacity under all share option schemes totals 395.69 million shares, equal to 11.1% of issued shares (excluding treasury stock) as of the 2025 Annual Report date.

The board confirmed no other sections of the 2025 Annual Report are affected and advised investors to exercise caution when dealing in the company’s shares.
