Participation and Abstentions • Total issued shares as at the EGM date: 2.52 billion. • Shares eligible to vote (excluding required abstentions): 1.37 billion, or 54.41% of total issued shares. • Chow Tai Fook Enterprises Limited (CTFE) and its subsidiaries, holding 1.14 billion shares (45.20% of issued share capital) plus 2.30 million shares held by Chow Tai Fook Capital Limited, abstained from voting due to material interests in the CTFE Transactions. • Directors with deemed material interests—including Dr. Cheng Kar-Shun, Henry; Mr. Cheng Kar-Shing, Peter; Ms. Cheng Chi-Man, Sonia; and Mr. Cheng Chi-Heng—also abstained from voting. • No shareholders were required to abstain from voting in favour under Listing Rule 13.40, and no other shareholders indicated intentions to oppose or abstain ahead of the meeting.
Meeting Attendance Eighteen directors attended the EGM in person or via electronic means; Dr. Cheng Kar-Shun, Henry was absent.
Implication The approval grants the Board authority to execute and implement all documents and actions necessary to give effect to the 2026 CTFE Master Services Agreement and the associated transactions within the approved annual caps.
