Xinhua Lande Scitech (8106) Reports Change in H Share Subscriber and Supplemental Subscription Arrangement

According to an announcement dated 25 February 2026, Xinhua Lande Scitech Co., Limited (8106) entered into a supplemental agreement that replaced a previous subscriber, who could not remit funds on schedule, with a new subscriber. The new subscriber assumes the same commitment of approximately 6.97 million H Shares for a total subscription of HK$2.16 million. The subscription price remains at HK$0.31 per H Share.

The subscription price is unchanged from that used in earlier agreements. As indicated, it represents a discount of about 8.82% compared to the closing price of HK$0.34 per H Share on 25 February 2026, and a slight premium compared to the average closing price over five trading days before the original subscription date. The announcement states that all other terms and conditions remain intact. It also notes that completion of the subscriptions is subject to certain conditions and may or may not proceed, and cautions shareholders and potential investors to exercise care when trading the shares.
