Alliance International Education Leasing Sets 27 Aug 2026 EGM to Ratify “XH Navigator” Charter Termination and Ownership Transfer

Alliance International Education Leasing Holdings Limited has issued a proxy form convening an extraordinary general meeting (EGM) on 27 August 2026 at 11:00 a.m. in Shenzhen, Guangdong.

Key agenda: 1. Shareholders will vote on an ordinary resolution to approve, confirm and ratify two linked agreements dated 21 May 2026:  • Termination Agreement among Union Shipping Fund I — SPV2 Limited, Xie Hai Navigator Shipping Co., Limited and Fond Marine Pte. Ltd., which ends the charter of the motor vessel “XH Navigator” (IMO 9330824) and transfers vessel ownership from Fond Marine to XH Navigator.  • Sub-Charter Termination Agreement between SPV2 and XH Navigator, which cancels the bareboat sub-charter and settles all related obligations through a defined Settlement Amount.

2. If the resolution passes, directors are authorised to execute all ancillary documents and handle administrative amendments necessary to implement the Termination Agreement, the Sub-Charter Termination Agreement and the associated transactions.

Voting mechanics: • All resolutions will be decided by poll. • Shareholders recorded on the register may appoint proxies; completed proxy forms must reach Tricor Investor Services Limited by 11:00 a.m. on 25 August 2026 (48 hours before the EGM).

The EGM outcome will determine whether the vessel charter termination and ownership transfer proceed as proposed.
