Keppel Pacific Oak US REIT Management Pte. Ltd., manager of Keppel Pacific Oak US REIT, said on Sep, 29 2025 that Perpetual (Asia) Limited, in its capacity as trustee of the REIT, has signed an amendment and restatement agreement for a revolving credit facility of US$25 million originally dated Jul, 19 2024.
Under the amended terms, the borrower must repay all outstanding loans within 10 business days if any of the following occurs: • the current or any successor manager ceases to manage Keppel Pacific Oak US REIT; • Keppel Ltd. together with either Pacific Oak Capital Advisors LLC or KORE Pacific Advisors Pte. Ltd. no longer collectively own all issued shares in the manager; or • Keppel Capital Investment Holdings Pte. Ltd. ceases to hold at least 64,165,352 units in the REIT.
If any of these “Mandatory Prepayment Events” arises, a total of about US$705 million in facilities—including interest and fees—could be affected, the manager said.
The manager noted that none of these conditions has been breached as of the announcement date.
