Ximei Resources raises HK$537.20 million through 34.10 million-share placement and top-up subscription

Hong Kong-listed Ximei Resources Holding Limited has completed its previously announced share placement and top-up subscription, securing net proceeds of approximately HK$537.20 million.\n\nUnder the transaction, 34.10 million existing shares were placed on 5 June 2026 to at least six independent investors at HK$16.10 per share. All conditions for the subsequent top-up subscription were met, and on 10 June 2026 the company issued 34.10 million new shares to Jiawei Resources Holding Limited—the selling shareholder—at the same price.\n\nProceeds allocation:\n• HK$161.20 million (30%) for potential strategic investments and acquisitions in upstream mining.\n• HK$161.20 million (30%) for business development and production-capacity expansion.\n• HK$214.80 million (40%) for working capital and general corporate purposes, including raw-material procurement and debt repayment.\n\nPost-transaction capital structure:\n• Total issued shares increased from 380.00 million to 414.10 million.\n• Jiawei Resources Holding’s stake fell from 53.95% to 49.50%, remaining the largest shareholder.\n• Ganfeng Lithium Co., Ltd. retained 14.48% of the enlarged share capital.\n• The new placees collectively hold 8.23% of the company.\n\nThe placement was conducted on a best-effort basis by joint placing agents acting as capital-market intermediaries. All placees and their ultimate beneficial owners are classified as Independent Third Parties and are not acting in concert with the selling shareholder.
