Following the close of trading on June 5, 2026, the company's wholly-owned subsidiary, Shanghai Qiandu, intends to acquire approximately 83.33% of the issued share capital of Shanghai Benshen Zhishu Enterprise Management Co., Ltd. from several individual sellers for a total consideration of RMB 150 million. Concurrently, Shanghai Benshen Zhishu has agreed to issue subscription shares to Shanghai Qiandu, equivalent to about 45.45% of its enlarged issued share capital post-subscription, for an additional RMB 150 million.
Prior to this announcement, the group held no equity in the target group. Upon completion of both the acquisition and the subscription, C.BANNER will indirectly hold approximately 90.91% of the target company's issued share capital through Shanghai Qiandu.
