Senior Material to Lift Bangci Electronic Stake to 73.48% via RMB241.83 Million Deal

Shenzhen Senior Technology Material Co., Ltd. (Senior Material, 06067) has signed definitive equity transfer agreements to acquire an additional 59.98% stake in Bangci Electronic Technology (Yancheng) Co., Ltd. for RMB241.83 million in cash, funded by internal resources. Senior Material already owns 13.50% of Bangci; post-transaction its holding will rise to 73.48%, turning Bangci into a consolidated, non-wholly owned subsidiary.

The sellers are seven independent third-party investors—Fortune New Materials Phase II & III, Wotao Electronic, Future City Junluo, Dongfang Jintai, Coral Xingci and Gongqingcheng Zhonghang Kaisheng No. 2. Payments to most vendors will be made in two equal tranches after specified conditions precedent are met; Wotao Electronic will receive RMB87.50 million, the largest single payout.

Pricing was set after arm’s-length negotiation and referenced (i) a RMB629 million appraised equity value of Bangci as at 31 March 2026, (ii) historical and prospective performance, and (iii) anticipated synergies. The agreed consideration equates to roughly RMB403 million for 100% of Bangci, representing a discount to the appraised value.

Bangci focuses on monolayer and multilayer piezoelectric ceramics for micro-fluidic control and micro-displacement platforms used in mass-flow controllers, lithium-battery coating, semiconductor precision equipment and laser communications. Unaudited IFRS numbers show rapid growth: 2025 net profit after tax climbed to RMB26.22 million from RMB7.14 million in 2024, while net assets increased to RMB146.81 million.

Following completion, Senior Material will consolidate Bangci’s results, enhancing its presence in advanced ceramic materials and broadening its product portfolio beyond lithium-ion battery separators. Management expects cross-selling opportunities with shared battery-industry customers and technology integration benefits.

The deal qualifies as a discloseable transaction under Hong Kong Listing Rule 14.06 and requires shareholder approval under Shenzhen’s ChiNext rules. Completion remains subject to customary conditions; shareholders and potential investors are advised to exercise caution when dealing in the company’s securities.
