Flydoo Technology Holding Limited (FLYDOO TECH) plans to consolidate every 20 issued and unissued shares of HK$0.01 each into one share of HK$0.20, subject to shareholder approval at an extraordinary general meeting (EGM) on 4 May 2026.
The proposed transaction seeks to address the company’s persistently low share price—recently at HK$0.022—by lifting the theoretical post-consolidation price to about HK$0.44. This would raise the board-lot value (5,000 shares) from roughly HK$110 to HK$2,200, satisfying GEM Listing Rule 17.76 and the Stock Exchange’s guideline that urges issuers trading near HK$0.01 to undertake consolidation.
Key capital metrics will remain intact. Authorised share capital stays at HK$100.00 million, but the number of authorised shares will be reduced from 10.00 billion to 500.00 million. Issued shares will contract from 816.71 million to 40.84 million, while issued share capital is unchanged at HK$8.17 million. The company has no outstanding convertible instruments.
If approved, the consolidation takes effect on 6 May 2026, with dealings in consolidated shares commencing the same day. Parallel trading in old and new certificates will run from 20 May to 10 June 2026, and the free exchange of share certificates will be available until 12 June 2026.
The board lot size will remain 5,000 shares. Fractional entitlements will be aggregated and sold for the company’s benefit, and Success Securities Limited will provide odd-lot matching services between 20 May and 10 June 2026.
Implementation is contingent on: 1) shareholder approval at the 4 May 2026 EGM; 2) compliance with relevant Cayman Islands, Hong Kong and GEM Listing Rule requirements; and 3) GEM Listing Committee approval for the new consolidated shares.
Management states there are no current plans for additional corporate actions or equity fundraising within the next 12 months, though future opportunities may be considered as needed.
