The revised constitutional document replaces the previous version in its entirety and aligns the company’s governance framework with the latest Cayman Islands Companies Act (as revised) and Hong Kong Listing Rules.
Key amendments include:
• Share Capital & Treasury Shares – The share capital remains divided into shares of US$0.10 par value, while the board is expressly empowered to repurchase its own shares and hold them as treasury shares (Articles 3-7).
• Electronic & Hybrid Meetings – New Articles 57 and 64A-64G permit physical, hybrid, or fully virtual general meetings, count electronic attendance toward quorum and voting, and set out detailed procedures for postponement, adjournment, and security arrangements.
• Electronic Communications – Articles 158-160 and 168 authorise electronic delivery of notices, corporate communications, dividend instructions, and corporate-action proceeds, and allow members to file instructions through electronic channels.
• Board Powers & Governance – Updated provisions cover director appointments, rotations, disqualifications, alternate directors, indemnity, and borrowing powers, while reaffirming that at least two directors must serve on the board (Articles 83-120, 164).
• Dividend Distribution – Articles 133-142 clarify that dividends may be paid from realised or unrealised profits or share premium and introduce scrip-dividend alternatives, electronic payment methods, and procedures for unclaimed dividends.
• Capital Management – Revised clauses address capital reduction, variation of class rights, capitalisation of reserves, subscription-rights reserve mechanics, and options for electronic share certificates.
• Member Protections – Enhanced rules govern forfeiture of shares, lien enforcement, treatment of untraceable members, and inspection rights for registers and documents.
The amended Articles took immediate effect upon shareholder approval and now govern all corporate actions of Pengo. The company’s shares continue to trade on the Hong Kong Stock Exchange under the ticker 01865.
