Semiconductor Manufacturing International Corporation (SMIC) filed its Monthly Return for the period ended 31 July 2026, detailing marginal changes in share capital structure driven by employee incentives while maintaining full public-float compliance on the Hong Kong Stock Exchange (HKEX).

Authorised Capital • Authorised share capital remained unchanged at 42.00 million USD, comprising 10.00 billion ordinary shares and 0.50 billion preference shares, both with a par value of 0.004 USD.

Issued Shares – Hong Kong Counter • Exercise of 253,518 options under the 2014 Stock Option Plan increased issued H-shares by 0.25 million to 6.01 billion shares. • No treasury shares were held or transferred. • The exercise generated 4.28 million HKD in proceeds. • HKEX public-float requirements remain satisfied, with the free-float ratio above the 5 % threshold set for PRC issuers.

Issued Shares – Shanghai STAR Market Counter • The Shanghai-listed ordinary share count was unchanged at 2.55 billion shares.

Equity Incentive Capacity • Following the latest option exercises, 8.29 million options remain outstanding under the 2014 Stock Option Plan. • Additional issuance capacity includes 181,897 restricted share units (RSUs) under the 2014 Equity Incentive Plan and 9.45 million RSUs under the 2024 Equity Incentive Plan, none of which were converted during the month.

Capital Structure Snapshot (31 July 2026) • Total issued shares across both listings: 8.56 billion. • Treasury shares: none. • Funds raised YTD from option exercises under the 2014 plan now total 4.28 million HKD.

Regulatory Confirmation The company secretary confirmed that all share-related actions during the month were duly authorised and executed in compliance with HKEX Listing Rules and relevant legal requirements.
