Viewtrix Tech Sets 20 Aug 2026 EGM to Ratify Appointment of New Independent Director

Viewtrix Technology Co., Ltd. will convene its first extraordinary general meeting of 2026 on 20 August at 14:30 (Hong Kong time) in Shanghai to seek shareholder approval for the appointment of Professor Zhang Jinfan as an independent non-executive director (INED).

Key points of the proposal 1. Candidate profile • Professor Zhang, aged 45, holds a Ph.D. in Electrical Engineering from Tsinghua University (2007) and a Ph.D. in Finance from Yale University (2013). • Current roles include professor of finance and head of the finance area at the Chinese University of Hong Kong (Shenzhen) and INED at Sheng Yuan Holdings Ltd. since May 2020. • Previous positions span the IMF’s Monetary Policy and Financial Markets Department and Cheung Kong Graduate School of Business.

2. Tenure and remuneration • Term: From the date of shareholder approval to the end of the second Board session. • Annual allowance for 2026: RMB 43,900 (before tax).

3. Independence confirmation • The Board and its Nomination Committee affirm that Professor Zhang satisfies all independence requirements under Rule 3.13 of the Hong Kong Listing Rules, holds no shares in the company and has no relationships with directors, senior management or major shareholders.

Logistics for shareholders • Register closure: 17–20 August 2026 (both days inclusive). • Record date: 20 August 2026. • Deadline for lodging share transfers: 14 August 2026, 16:30, at Computershare Hong Kong Investor Services Ltd. • Proxy submission cutoff: 19 August 2026, 14:30.

Voting at the EGM will be conducted by poll, and results will be released via the Hong Kong Stock Exchange and company websites.
