BUILD KING HOLD to Acquire Construction Firms for Up to HK$100 Million

BUILD KING HOLD (00240) has announced that its wholly-owned subsidiary PrimeStone has entered into a restructuring framework agreement to acquire approximately 100% equity interests in several target companies for a maximum total consideration of HK$100 million.

The agreement was signed on July 23, 2026, between PrimeStone (as investor), the target companies, their sellers, and a provisional liquidator (as seller). The acquisition is subject to the satisfaction or waiver of certain conditions precedent. Upon completion, each target company and its nominee will retain only its license and the "Paul Y." trademark, while holding no other material assets or liabilities (unless covered under the plan or indemnity). Each target company will then become a subsidiary of BUILD KING HOLD and be consolidated into its financial statements.

The target companies include Paul Y. Engineering, Paul Y. Engineering Construction, Paul Y. Engineering Building, and Paul Y. Engineering M&E. These firms hold various construction licenses, some of which have been revoked but are expected to be reinstated as a condition of completion. The licenses include Group C licenses from the Development Bureau covering building, road and drainage, site formation, and water works (for Paul Y. Engineering and Paul Y. Engineering Construction); Group C (trial) licenses for port works and landslip prevention works (for Paul Y. Engineering and Paul Y. Engineering Building); Group II licenses for land piling works (for Paul Y. Engineering and Paul Y. Engineering Building) and for electrical and mechanical works (for Paul Y. Engineering M&E); licenses from the Buildings Department covering general building contractor works, foundation works, and site formation works; and NW2 and NW1 building (new works) licenses from the Housing Authority (for Paul Y. Engineering, Paul Y. Engineering Building, and Paul Y. Engineering Construction).

The investor has been informed that the rectification period for the Housing Authority licenses may have expired. If any of these licenses for any target company are cancelled, invalidated, terminated, or withdrawn, a renegotiation period will commence.

The sellers include PYC International, Victory Box, Everboom, Paul Y. Construction, and Paul Y. Management. These companies are incorporated in the British Virgin Islands (except for Paul Y. Construction and Paul Y. Management, which are incorporated in Hong Kong) and are primarily engaged in investment holding.

The completion of the acquisition of any target company will enable the BUILD KING HOLD group to acquire that entity, thereby strengthening the group's strategic and operational growth. This will enhance the group's ability to bid for a wider range of projects (after the respective target companies are recapitalized and their licensed business operations are normalized) and manage project-related risks and operational efficiency at a reasonable acquisition cost.

Apart from the licenses held by the target companies that are not currently held by members of the BUILD KING HOLD group, upon completion, if any entity within the group holds similar licenses, it will provide greater flexibility to (i) manage the risk of being unable to bid for new projects due to unforeseen events (despite the group's strict health and safety measures at project sites) or (ii) enable relevant entities within the group, based on their respective license portfolios, to independently bid for construction works (whether or not subcontracting to others) or form joint ventures with fellow subsidiaries or external parties.
