Honghua Group Limited will convene its 2026 annual general meeting (AGM) on 30 June 2026 at 09:30 a.m. in Conference Room 353, 99 East Road, Information Park, Jinniu District, Chengdu, Sichuan, PRC.
Key resolutions scheduled for shareholder vote are:
1. 2025 Results Adoption • Consideration and approval of the audited consolidated financial statements, the directors’ report and the auditor’s report for the financial year ended 31 December 2025.
2. Board Composition and Remuneration • Re-election of Mr Wang Xu and Mr Yang Qiang as executive directors, and Mr Liu Hui as a non-executive director. • Authorisation for the board to determine directors’ remuneration.
3. Auditor Appointment • Appointment of BDO Limited as external auditor for the financial year ending 31 December 2026, succeeding Deloitte Touche Tohmatsu, with authority for the board to fix its remuneration.
4. Share Buy-back Mandate • General mandate allowing the board to repurchase up to 10% of the company’s issued share capital (excluding any treasury shares) as at the date of the resolution.
5. Issuance and Treasury Share Mandate • General mandate empowering the board to issue, allot or otherwise deal with new shares and/or sell or transfer treasury shares up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the resolution.
6. Mandate Extension • Authorisation to extend the 20% issuance mandate by adding the number of shares repurchased under the 10% buy-back mandate.
Proxy Arrangements • Shareholders unable to attend may appoint proxies, with completed forms to be lodged with Computershare Hong Kong Investor Services Limited no later than 9:30 a.m. on 28 June 2026. • Each share carries one vote; joint holders’ voting will follow seniority as recorded on the share register.
The proposed resolutions collectively aim to refresh Honghua Group’s board composition, transition audit responsibilities to a new firm, and provide the board with flexibility to manage the company’s capital structure through share issuance and buy-backs.
