Hong Kong—15 May 2026—Phoenix Media Investment (Holdings) Limited (“Phoenix TV”) announced a major leadership transition effective the same day.
Resignation • Mr. Sun Yusheng has stepped down as Executive Director, Deputy Chief Executive Officer, Editor-in-Chief, Nomination Committee member, Authorised Representative and Process Agent owing to retirement. • The board confirmed that Mr. Sun has no disagreements with management and no other matters require shareholder attention.
Appointment • Mr. Li Ting, aged 63, has been appointed to all of Mr. Sun’s former positions, including Executive Director, Deputy Chief Executive Officer, Editor-in-Chief, Nomination Committee member, Authorised Representative and Process Agent. • Mr. Li brings more than 40 years of broadcast-media experience, having served as Deputy Editor-in-Chief and News Centre Director at China Central Television and China Media Group. • Contract terms: three-year tenure starting 15 May 2026, subject to retirement by rotation. Annual remuneration is HK$2.40 million, supplemented by housing benefits of HK$0.44 million. No additional director’s fee is payable.
AGM adjustments • Owing to Mr. Sun’s departure, ordinary resolution No. 2 in the AGM notice dated 28 April 2026 has been withdrawn. • Mr. Li will retire and offer himself for re-election at the 3 June 2026 AGM under Article 83(3). • To satisfy rotation requirements, Independent Non-executive Director Mr. Thaddeus Thomas Beczak will also retire and stand for re-election alongside Ms. Ho Chiu King, Mr. Zhou Longshan and Mr. Li. • A supplemental circular, revised AGM notice and proxy form will be dispatched to shareholders by 16 May 2026.
