FAR INTL (FAR International Holdings Group Company Limited) has agreed to purchase 51 % of California-based COPE Services and Hyperlining, alongside a US$2.00 million subscription for new COPE shares, in a deal that could total up to US$79.91 million.
Key Transaction Terms • First-stage consideration: US$15.78 million, adjusted to US$13.70 million after deducting the capital investment and audit expenses. • Capital investment: US$2.00 million injected directly into COPE. • Additional consideration cap: Up to US$64.13 million for phased share increases (14 % in FY 2026, 15 % in FY 2027) and a final equity swap after FY 2029; settlement will be at least 50 % cash, with any share portion priced at a 15 % discount to the 60-day average. • Valuation-adjustment mechanism: Founders must compensate in cash or equity (max. 10 % per year) if combined pre-tax profit targets of US$8.00 million (FY 2025), US$12.00 million (FY 2026) and US$16.20 million (FY 2027) are missed.

Shareholder Approval An extraordinary general meeting will be held on 27 Apr 2026 in Hangzhou. The register of members will close from 22 Apr to 27 Apr 2026. Completion remains subject to shareholder and regulatory approvals.
