Lung Fung Group: 16 Sep 2026 AGM to Vote on Share Issue/Buy-back Mandates, Auditor Re-appointment and Board Re-elections

Lung Fung Group Holdings will convene its FY 2026 annual general meeting (AGM) on 16 September 2026 in Hong Kong. Key resolutions to be tabled include:

1. General mandates • Share issue mandate: Directors may allot and issue, or sell/transfer treasury shares, up to 20% of the company’s issued share capital (maximum 100 million shares based on the current 500 million issued shares). • Share repurchase mandate: Authority to buy back up to 10% of issued shares (maximum 50 million shares). Shares repurchased may be cancelled or held as treasury shares in compliance with Hong Kong and Cayman Islands regulations. • Extension mandate: The share issue limit can be increased by the number of shares repurchased under the above authority.

2. Board matters • Re-election of five retiring directors: Executive directors Mr Tse Siu Hoi and Ms Tse Chui Ying; independent non-executive directors Mr Chu Woon Ming, Mr Yau Sheung Yu and Ms Woo Pui Yan Joyce. • All five are eligible and have offered themselves for re-election; the nomination committee has endorsed their candidacies and confirmed the independence of the three INEDs.

3. Auditor • Proposed re-appointment of Deloitte Touche Tohmatsu as independent auditor for the year ending 31 March 2027, with an expected audit fee ranging between HK$1.80 million and HK$2.00 million, exclusive of out-of-pocket expenses.

4. Administrative details • Shareholders on record as of 16 September 2026 may attend and vote. Share transfer documents must be lodged by 4:30 p.m. on 10 September 2026. • Proxy forms must be submitted to Tricor Investor Services by 14 September 2026, 09:30 a.m. (48 hours before the AGM). • All AGM resolutions will be decided by poll in accordance with Hong Kong Listing Rules.

If approved, the mandates remain effective until the next AGM, the mandatory meeting deadline, or earlier revocation. The board recommends shareholders vote in favour of all proposed resolutions.
